1. General Terms & Conditions for the Use of the Platform

Introduction

These Terms and Conditions (the "Agreement") constitute a legally binding contract between you, the User, and BRIDL LIMITED (“BRIDL”, “we”, “us”, or “our”). This Agreement governs your access to and use of our website, including but not limited to https://www.bridl.co, https://bridl.auction/auctions, https://app.bridl.co, and any other websites, channels, or applications owned, operated, or controlled by BRIDL (collectively referred to as the "Platform"). By accessing or using the Platform, you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these Terms, you must cease using the Platform immediately.

Definitions
  • BRIDL: Refers to BRIDL LIMITED, a private limited company registered under the Companies Act 2006, with Company Number 13098461, having its registered office at Jump Accounting Wework, 33 Queen Street, London, United Kingdom, EC4R 1AP. BRIDL acts as an intermediary in the sale and purchase of horses through the Platform.
  • User: Any individual or entity accessing or using the Platform for any purpose, including but not limited to Buyers, Sellers, Scouts, Trial Riders, Referrers, and Partners.
  • Buyer: A User who enters into a contract to purchase a horse through the Platform
  • Seller: A User who enters into a contract to sell a horse through the Platform
  • Platform: The BRIDL website and any associated applications, tools, and services used to facilitate the buying, selling, and evaluation of horses.
Access and Use of the Platform
  • Access to Services: BRIDL provides Users with access to the Platform to facilitate equine transactions, including but not limited to browsing listings, communicating with Sellers and Buyers, and managing transactions. Use of the Platform is subject to these Terms, and BRIDL reserves the right to refuse or suspend access to the Platform at its discretion.
  • Authorized Use: Users agree to use the Platform solely for its intended purposes, including browsing horse listings, communicating with other Users, or facilitating horse sales. Any unauthorized use, including but not limited to scraping data, creating multiple accounts, or engaging in fraudulent activities, is strictly prohibited
  • Service Availability: BRIDL strives to provide continuous access to the Platform but does not guarantee uninterrupted service. We reserve the right to suspend, restrict, or terminate access to the Platform for maintenance, security, technical reasons, or breaches of these Terms, without notice or liability to the User.
  • User Obligations: You agree to provide accurate, current, and complete information when registering or interacting on the Platform. Failure to comply may result in the suspension of your account and termination of access to the Platform.
Limitation of Liability:
  • No Guarantees: BRIDL makes no warranties or representations about the accuracy, reliability, or suitability of any horses listed on the Platform. The Platform is provided on an "as-is" basis, and all transactions or interactions conducted through the Platform are at the User's own risk.
  • Exclusion of Liability: BRIDL shall not be held liable for any damages or losses arising from the use of the Platform, including but not limited to lost data, missed transactions, or any incidental, special, or consequential damages, even if BRIDL has been advised of the possibility of such damages.
  • Third-Party Liability: BRIDL disclaims all liability for the actions, representations, and conduct of third parties, including Buyers, Sellers, and service providers. Any disputes or claims must be resolved between the respective parties directly.
BRIDL as an Intermediary
  • Intermediary Role: BRIDL acts solely as an intermediary platform connecting Buyers, Sellers, and other Users. BRIDL is not a party to any transaction between Users and does not hold ownership of any horses listed on the Platform.
  • No Legal Responsibility: BRIDL provides tools and resources to facilitate transactions but does not assume legal responsibility for the outcome or quality of any transaction. Users are encouraged to seek independent legal or tax advice before entering into any transaction.
  • Content and Listings: BRIDL endeavours to maintain accurate horse listings on the Platform but does not guarantee the completeness, correctness, or suitability of the information provided by Sellers. Buyers should independently verify the information before proceeding with a purchase.
Amendments and Updates
  • Right to Modify: BRIDL reserves the right to modify, update, or revise these Terms at any time, for any reason, including compliance with legal requirements, enhancing functionality, or maintaining operational standards. Updates will be communicated to Users through email or a notification on the Platform.
  • Effective Date of Changes: Amendments to these Terms will become effective upon posting. Continued use of the Platform following any changes will be deemed acceptance of the updated Terms. If you do not agree with any modifications, you must stop using the Platform immediately.
Governing Law

This Agreement and any disputes arising from or in connection with its terms or your use of the Platform shall be governed by and construed in accordance with the laws of England and Wales. You agree that any disputes, claims, or legal actions related to the Agreement will be subject to the exclusive jurisdiction of the courts located in London, England.

Opportunity for Independent Legal Advice

BRIDL strongly advises Users to seek independent legal advice regarding their rights, obligations, and any contracts they enter into as a result of using the Platform. BRIDL disclaims liability for any consequences resulting from Users’ failure to obtain such advice.

2. Terms & Conditions for Buyers

Eligibility to Buy
  • Age and Legal Capacity: To use the Platform to buy a horse, you must be at least 18 years old and have the legal capacity to enter into binding agreements. If you are acting on behalf of a company or legal entity, you must have the authority to bind that entity to these Terms & Conditions.
  • Compliance with Laws: You agree to comply with all applicable laws and regulations in your country or jurisdiction, including any specific laws related to the purchase, ownership, and transportation of horses
  • Jurisdiction for Horse Sale: The law governing the sale of the horse is typically the law of the country where the horse is located, as reflected in the Sales Contract. However, the services provided by BRIDL are governed by the laws of England and Wales.
Buyer’s Responsibilities
  • Due Diligence You are responsible for conducting your due diligence before purchasing a horse. This includes organizing veterinary checks, viewing the horse in person if possible, and ensuring that the horse is suitable for your intended purpose.
  • Communication with Sellers: BRIDL facilitates communication between Buyers and Sellers, but it is your responsibility to maintain respectful, clear, and timely communication with Sellers during the transaction process. BRIDL is not responsible for any misunderstandings between Buyers and Sellers.
  • Accuracy of Information: You must provide accurate and up-to-date information throughout the purchasing process, including personal details, payment information, and any specific requirements for the purchase or transportation of the horse
Purchasing Process
  • Browsing Listings: You can browse horse listings on the Platform, each containing detailed descriptions, photos, and videos. BRIDL strives to provide accurate information but cannot guarantee the accuracy or completeness of Seller-provided descriptions.
  • Engaging with Sellers: Once you express interest in a horse listed on the Platform, BRIDL will facilitate the connection between you and the Seller. All communications, updates, and conversations between you and the Seller must be conducted through our team. You are not permitted to contact the Seller directly without going through BRIDL. If you bypass BRIDL and directly engage with the Seller after discovering the horse on our Platform, you will be liable for the full commission due to BRIDL as if the transaction were conducted through us. BRIDL is responsible for facilitating communication but is not liable for any agreements or arrangements made between you and the Seller.
  • Organizing Trials and Vet Checks: You are responsible for organizing and covering the costs of trials, vet checks, or other evaluations necessary before finalizing the purchase. BRIDL recommends that Buyers perform thorough veterinary checks.
  • Finalizing the Purchase: Once you decide to move forward with a purchase, BRIDL can assist in coordinating the contract process. However, you are responsible for fully understanding the terms of the Sales Contract. BRIDL advises that you seek independent legal advice before finalizing the agreement.
Payment and Fees
  • Purchase Price: The total purchase price for the horse is agreed between the user / the buyer and the Seller. The user / the buyer are responsible for paying the full amount to the Seller as per the terms outlined in the Sales Contract.
  • BRIDL's Commission: BRIDL charges a commission for facilitating the transaction, which is agreed upon in advance and invoiced separately. The user / the buyer are responsible for paying BRIDL’s commission in accordance with the contract terms.
  • VAT and Taxes: The user / the buyer are responsible for paying any applicable VAT, taxes, and customs duties associated with the purchase and transport of the horse. If the horse is exported and proof of export is not provided within the required timeframe, VAT may be charged by the Seller or BRIDL..
  • Money Laundering Compliance: BRIDL strictly prohibits any association with money laundering activities. If requested, you must provide proof of the source of funds used for the purchase of a horse. BRIDL reserves the right to request additional information about you or your company, either directly or through third-party controls. Failure to comply with such requests may result in suspension or termination of your account.
Transportation and Risk Transfer
  • Transportation Arrangements: After the purchase is finalized, you are responsible for arranging and paying for the transportation of the horse, including any quarantine requirements. BRIDL may provide transportation recommendations, but the arrangements are the user/buyer’s responsibility.
  • Risk Transfer: Risk of loss, injury, or damage to the horse passes to the user / the buyer upon payment of the purchase price, unless otherwise agreed in the Sales Contract. BRIDL advises Buyers to obtain insurance coverage for the horse before transport.
No Warranty on Future Performance
  • As-Is Purchase: After the purchase is finalized, you are responsible for arranging and paying for the transportation of the horse, including any quarantine requirements. BRIDL may provide transportation recommendations, but the arrangements are the user/buyer’s responsibility.
  • Risk Transfer: Risk of loss, injury, or damage to the horse passes to the user / the buyer upon payment of the purchase price, unless otherwise agreed in the Sales Contract. BRIDL advises Buyers to obtain insurance coverage for the horse before transport.
Confidentiality
  • Confidential Information: By using the Platform, you agree to keep all details of your transaction confidential, including the purchase price, veterinary exam results, and personal information of the parties involved. Disclosure is only permitted with written consent from the other party or if required by law.
Legal and Tax Advice
  • Independent Legal Advice: BRIDL strongly advises Buyers to seek independent legal and tax advice before purchasing a horse through the Platform. BRIDL is not responsible for any legal, tax, or financial consequences that arise from the transaction.
Dispute Resolution
  • In the event of a dispute between the Buyer and the Seller, BRIDL will not be involved in resolving the dispute. However, if both parties request, BRIDL may act as a neutral intermediary to facilitate communication, but BRIDL will not assume responsibility for resolving the dispute. Any costs associated with mediation or dispute resolution shall be agreed between the Buyer and Seller unless otherwise agreed. BRIDL shall assumes non of those costs.
Indemnity and Liability Waiver
  • Indemnity: The user / buyer agree to indemnify and hold harmless BRIDL, its affiliates, officers, directors, employees, agents, and suppliers from any claims, losses, liabilities, damages, or expenses arising out of your use of the Platform, including but not limited to the purchase of a horse.
  • Liability Waiver: BRIDL disclaims all liability for issues related to the condition of the horse, misrepresentations made by Sellers, or disputes between Buyers and Sellers. BRIDL's liability, if any, is limited to the commission it receives for facilitating the sale.
Governing Law
  • Applicable Law for Sales Contracts: The law governing the sale of the horse is typically the law of the country where the horse is located, as specified in the Sales Contract between the Buyer and Seller.
  • BRIDL Services: The services provided by BRIDL, including the use of the Platform, are governed by and construed in accordance with the laws of England and Wales. Any disputes related to BRIDL’s services shall be subject to the exclusive jurisdiction of the courts in London, England..

3. Terms & Conditions for Sellers

Eligibility to Sell
  • Age and Legal Capacity: To list and sell horses on BRIDL, the user/seller must be at least 18 years old and have the legal capacity to enter into binding agreements. If the user/seller are acting on behalf of a company or legal entity, the user/seller must have the authority to bind that entity to these Terms & Conditions.
  • Ownership and Authority: The user/seller must be the legal owner of the horse, or have full authorization from the legal owner, to sell the horse. BRIDL may request proof of ownership or authorization at any point during the sale process.
  • Compliance with Laws: The user / seller agree to comply with all applicable laws and regulations in the user/seller’s jurisdiction regarding the sale of horses, including any documentation or registration requirements.
Seller’s Responsibilities
  • Accurate Information: The user/seller is responsible for providing complete, accurate, and truthful information regarding the horse, including age, health status, pedigree, performance history, and any known medical or behavioural issues. Failure to provide accurate information may result in legal liability.
  • Ownership and Liens: the user/seller represents that the user/seller is the legal owner of the horse or has full authorization to sell the horse and that the horse is free from any liens, claims, or encumbrances. The user/seller must provide documentation to verify ownership if requested by BRIDL or the Buyer.
  • Condition of the Horse: the user/seller is responsible for ensuring that the horse is in good health at the time of sale and that any pre-existing medical conditions or behavioural issues have been disclosed to the Buyer. The user/seller agrees to allow the Buyer to conduct a veterinary inspection before finalizing the sale.
Listing Your Horse
  • Listing Creation: When listing a horse on BRIDL, the user/seller must provide comprehensive descriptions, images, and videos of the horse that accurately represent its characteristics and condition. Misleading or false information may result in the removal of the user/seller’s listing and potential legal consequences.
  • Listing Updates: It is the user/sellers responsibility to ensure the user/seller’s listing remains accurate and up to date. If there are any changes to the horse’s condition, health, or availability, the user/seller must promptly update the listing.
    The seller may choose to share the relevant information with BRIDL’s team, who can assist in managing the listing on the seller’s behalf. In such cases, the seller is required to provide our team with all necessary updates about the horse and support the team in maintaining the listing's accuracy.
    Additionally, through our partnerships with third parties, such as Clipmyhorse, but not limited to them, the user / seller’s horse may receive extra advertising exposure. While our team will always disclose this to the user/seller, any horse listed publicly on BRIDL may also be marketed through our partners.
  • Condition of the Horse: the user/seller is responsible for ensuring that the horse is in good health at the time of sale and that any pre-existing medical conditions or behavioural issues have been disclosed to the Buyer. The user/seller agrees to allow the Buyer to conduct a veterinary inspection before finalizing the sale.
  • Marketing Support: By listing a horse on BRIDL, the user/seller grants the platform the right to use the provided information, images, and videos for marketing purposes across BRIDL’s network and partners.
Pricing and Payments
  • Setting the Price: The user/seller is responsible for setting the sale price of the horse. This price must be agreed upon with the Buyer before the transaction is finalized.
  • BRIDL’s Commission:: BRIDL charges a commission for facilitating the sale, which is agreed upon in advance. The commission is payable upon completion of the sale and will be invoiced separately. The user/seller is responsible for paying BRIDL’s commission in accordance with the terms of the contract. All commission terms are agreed upon in each transaction’s contract.
  • Payment Process: Once the sale is finalized, the Buyer will transfer the agreed purchase price directly to the user/seller. Proof of payment must be provided before the horse is released to the Buyer.
  • VAT and Taxes: The user/seller is responsible for invoicing any applicable taxes or VAT related to the sale. If the horse is exported, the user/seller may be required to charge VAT unless the Buyer provides proof of export within the required timeframe.
Trials and Vet Checks
  • Organizing Trials: If the Buyer requests a trial or viewing, the user/seller is responsible for facilitating this, either at the user/seller’s location or at an agreed-upon venue. Any costs associated with the trial are typically borne by the Buyer unless otherwise agreed.
  • Vet Checks: BRIDL strongly encourages Buyers to conduct a veterinary inspection before purchase. the user/seller must provide the Buyer with access to the horse for this inspection and disclose any relevant veterinary history or medical records upon request.
Transfer of Ownership and Transportation
  • Transfer of Ownership: Ownership of the horse transfers to the Buyer only after the user/seller has received full payment. the user/seller are responsible for signing any necessary documents to officially transfer ownership and for updating any relevant national or international databases (e.g., breed registries, and FEI registration).
  • Transportation: the user/seller may assist the Buyer in arranging transportation for the horse, but the cost and responsibility for transportation are typically borne by the Buyer unless otherwise agreed. BRIDL is not responsible for any transportation issues that arise after the sale.
Warranties and Disclaimers
  • Disclosure and Responsibility: As the Seller, the user/seller are expected to provide truthful and accurate information about the user/seller's experience with the horse. Any known issues, challenges, or concerns must be fully disclosed to the Buyer. Additionally, any questions posed by the Buyer should be answered as thoroughly and accurately as possible to support their due diligence process. However, the user/seller is not responsible for guaranteeing the future performance or behaviour of the horse. The Buyer assumes all risks regarding the horse's future condition and suitability for their intended use.
  • Disclosure of Known Issues: the user/seller must disclose any known medical conditions, behavioural issues, or other defects before the sale. Failure to disclose such information may result in legal liability..
  • Final Sale: Once the sale is completed, the transaction is considered final. The Buyer cannot return the horse or request a refund unless specifically allowed in the Sales Contract.
Dispute Resolution
  • Neutral Intermediary: In the event of a dispute with the Buyer, BRIDL may act as a neutral intermediary to facilitate a resolution, but is not responsible for resolving disputes. the user/seller agrees to resolve any disputes directly with the Buyer in accordance with the Sales Contract.
  • Mediation: If mediation is required to resolve a dispute, the costs of mediation will typically be shared equally between the user/seller and the Buyer unless otherwise agreed.
Indemnity and Liability Waiver
  • Indemnity: the user/seller agrees to indemnify, defend, and hold harmless BRIDL, its affiliates, officers, directors, employees, agents, and suppliers from any claims, losses, liabilities, damages, or expenses arising out of the user/seller use of the Platform, including the sale of any horse.
  • Liability Waiver: BRIDL disclaims all liability for issues related to the condition of the horse, misrepresentations made by the Seller, or disputes between Buyers and Sellers. BRIDL's liability, if any, is limited to the commission it receives for facilitating the sale.
Confidentiality
  • Confidential Information: By using the Platform, the user/seller agrees to keep all details of the user/seller transactions confidential, including the purchase price, veterinary exam results, and personal information of the parties involved. Disclosure is only permitted with the written consent of the other party or if required by law.
Governing Law
  • Applicable Law for Sales Contracts: The law governing the sale of the horse is typically the law of the country where the horse is located, as specified in the Sales Contract between the Buyer and Seller
  • BRIDL Services: The services provided by BRIDL, including the use of the Platform, are governed by and construed in accordance with the laws of England and Wales. Any disputes related to BRIDL’s services shall be subject to the exclusive jurisdiction of the courts in London, England.

Terms & Conditions for Scouts Program

Eligibility to Become a Scout
  • Age and Legal Capacity: To join BRIDL’s Scouts Program, the user / the scout must be at least 18 years old and possess the legal capacity to enter into binding agreements. If acting on behalf of a company or legal entity, the user / the scout must have the authority to bind that entity to these Terms & Conditions.
  • Equestrian Experience Scouts are expected to have a genuine passion for the equestrian industry and demonstrable experience in identifying high-quality horses, such as sports horses, breeding prospects, or competition horses. BRIDL reserves the right to verify the user / the scout's qualifications before approving the user / the scout for the program.
  • Compliance with Laws the user / the scout agrees to comply with all applicable laws and regulations in the user / the scout's country, including any licensing or certification requirements for scouting horses.
Scout’s Responsibilities
  • Identifying Suitable Horses: As a Scout, the user / the scout is responsible for identifying horses that meet BRIDL’s search criteria. This includes leveraging the user/scout network and attending equestrian events to scout for high-quality horses suitable for sale, training, breeding, or competition.
  • Accurate Reporting the user / the scout must provide accurate and comprehensive details about the horses the user / the scout scouts. This includes age, health, pedigree, performance records, and any additional information that may influence the horse’s sale potential. Supporting materials such as images or videos should also be provided.
  • Confidentiality: the user / the scout agrees to maintain the confidentiality of all details regarding the horses the user / the scout and the owners the user / the scout interacts with. Information related to the horses’ condition, ownership, or pricing should not be shared with third parties without the explicit permission of the owner or BRIDL
  • Timely Communication Scouts are expected to maintain prompt and professional communication with BRIDL, including staying updated on horse searches and providing timely submissions of scouted horses through BRIDL’s approved channels.
Referral Process
  • Receive Horse Search Updates: BRIDL will send regular updates on the types of horses it is seeking through approved communication channels, such as WhatsApp or email. It is the user / the scout's responsibility to keep up to date with these updates.
  • Submit Horses Once the user / the scout identifies potential horses that meet BRIDL’s criteria, the user / the scout must submit detailed reports, including descriptions, images, videos, and relevant records, through BRIDL’s designated submission platforms.
  • Collaboration with BRIDL: After submitting a horse, BRIDL may request additional information or require the user/scout assistance in facilitating communication between BRIDL and the horse’s owner. the user / the scout's role is to support this process and assist where necessary to ensure a smooth introduction.
  • Ownership and Consent: Before submitting any horse, the user / the scout must confirm that the owner consents to the horse being listed with BRIDL, and the user / the scout must ensure that all provided information is accurate and truthful..
Commission and Payment
  • Commission Structure: Scouts are eligible to earn commissions ranging from 2.5% to 5% on the successful sale of any horse they recommend through BRIDL’s program. The exact commission rate will be agreed upon before each transaction and communicated by BRIDL.
  • Payment Terms: Commissions are paid to Scouts after the successful completion of a sale, once full payment is received from the Buyer. Payments will be processed within 30 days after the transaction is concluded, and the funds have been cleared.
  • No Guarantee of Sale: BRIDL does not guarantee that any horse referred by a Scout will be sold, nor does it guarantee any minimum earnings. Commissions are only payable on successful sales that directly result from the user / the scout referral.
  • Invoicing: Upon the completion of a successful sale, the user / the scout must submit an invoice to BRIDL for the agreed commission amount. BRIDL will process payments within the specified timeline once the invoice is received.
  • Taxes : the user / the scout is responsible for reporting and paying any taxes applicable to the commission payments the user / the scout receives. BRIDL will not withhold taxes on the user / the scout's behalf.
Confidentiality and Non-Disclosure
  • Confidential Information: As a Scout, the user / the scout may have access to sensitive information about horses, horse owners, BRIDL’s internal processes, or potential Buyers. the user / the scout agrees to keep all such information strictly confidential and not disclose it to any third parties without the express written consent of BRIDL or the respective parties involved.
  • Non-Disclosure of Proprietary Information: the user / the scout agrees not to disclose any proprietary information, trade secrets, or horse-related details acquired through the user / the scout role as a Scout to competitors or other third parties. Any information shared with the user / the scout by BRIDL or clients must be used solely to fulfil the user / the scout's responsibilities as a Scout.
  • Obligations After Termination:: The obligations regarding confidentiality and non-disclosure shall survive the termination of the user / the scout's participation in the program. the user / the scout will continue to protect any confidential or proprietary information obtained during the user / the scout's time as a Scout even after the user / the scout's involvement with BRIDL ends.
Non-Exclusivity and Independence
  • Non-Exclusivity: the user / the scout's participation in BRIDL’s Scouts Program is non-exclusive, meaning the user / the scout is free to work with other companies or individuals outside of BRIDL. However, the user/scout may not use any confidential or proprietary information obtained through BRIDL for the benefit of other companies or competitors.
  • Independent Contractor: As a Scout, the user / the scout is acting as an independent contractor, not as an employee, agent, or representative of BRIDL. Nothing in these Terms & Conditions creates an employment relationship or entitles the user / the scout to any employment benefits. the user / the scout is responsible for the user / the scout's own business expenses, taxes, and liabilities.
Dispute Resolution
  • Good Faith Negotiation: In the event of a dispute between the user / the scout and BRIDL regarding commissions, referrals, or any other aspect of the program, both parties agree to first attempt to resolve the issue through good faith negotiation.
  • Mediation: If a dispute cannot be resolved through negotiation, either party may refer the matter to mediation. The cost of mediation will typically be shared between both parties unless otherwise agreed.
  • Legal Action: If the dispute remains unresolved after mediation, either party may pursue legal action. However, both parties agree to make reasonable efforts to avoid litigation and settle disputes amicably.
Termination of Participation
  • Termination by BRIDL: BRIDL reserves the right to terminate the user / the scout's participation in the Scouts Program at any time and for any reason, including but not limited to non-compliance with these Terms & Conditions, providing false or misleading information, breach of confidentiality, or any actions that may harm BRIDL’s reputation.
  • Termination by You: the user / the scout may terminate the user / the scout's participation in the program at any time by providing written notice to BRIDL. Any referrals made before termination that result in successful sales will still entitle the user / the scout to a commission, provided all other conditions are met.
  • Post-Termination Obligations: Upon termination of the user / the scout's participation, the user / the scout must cease using any BRIDL-related materials, logos, or proprietary information. All outstanding commissions for successful sales made before termination will still be paid according to the agreed-upon terms.
Indemnity and Liability Waiver
  • Indemnification: the user / the scout agrees to indemnify and hold harmless BRIDL, its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, or expenses arising from the user / the scout's participation in the Scouts Program. This includes any claims related to inaccurate or incomplete information the user / the scout provides or failure to fulfil the user / the scout's responsibilities under these Terms & Conditions.
  • Liability Waiver: BRIDL disclaims any liability for disputes, losses, or damages related to the user / the scout's role as a Scout, including issues between the user / the scout and horse owners, Buyers, or third parties. BRIDL’s liability, if any, is limited to the commissions owed to the user / the scout for successful sales that directly result from the user / the scout referrals.
Governing Law
  • Jurisdiction:: These Terms & Conditions, and any disputes arising from the user / the scout participation in the Scouts Program, are governed by and construed in accordance with the laws of England and Wales.
  • Exclusive Jurisdiction: Any legal disputes shall be subject to the exclusive jurisdiction of the courts in London, England. Both parties agree to submit to the jurisdiction of these courts for any claims or legal proceedings related to the program.

5.Terms & Conditions for Trial Riders Program

Eligibility to Become a Trial Rider
  • Minimum Age Requirement: To join BRIDL’s Trial Riders Program, the user/trial rider must be at least 18 years of age.
  • Experience and Skill: the user/trial rider must possess demonstrable experience in riding horses, with the ability to evaluate horses for various disciplines. the user/trial rider experience should cover handling and assessing different types of horses, including sport horses and competition horses.
  • Certifications and Licenses the user/trial rider is required to hold any necessary certifications or licenses for riding horses, as required by the laws and regulations of the user/trial rider jurisdiction.
  • Authoirty: If the user/trial rider is acting on behalf of a company or legal entity, the user/trial rider must have the authority to bind that entity to these Terms & Conditions.
Trial Rider’s Responsibilities
  • Accurate and Unbiased Assessment: the user/trial rider is responsible for conducting fair and professional trial rides. the user/trial rider must provide an accurate and unbiased evaluation of the horse, focusing on the horse's temperament, performance, rideability, and suitability for the client’s requirements.
  • Timely Communication: the user/trial rider must communicate promptly with BRIDL and the horse owner to schedule and conduct trial rides. Any changes in scheduling or issues encountered must be communicated as soon as possible..
  • Report Submission: After completing each trial ride, the user/trial rider must submit a comprehensive report detailing the user/trial rider's professional insights, observations, and recommendations based on the horse's performance. Reports must be submitted through BRIDL’s designated communication channels and should be done promptly.
  • Confidentiality: the user/trial rider is expected to maintain strict confidentiality regarding all details of the trial rides, including the horse's performance, suitability, and any sensitive information about the client or the horse owner.
How the Program Works
  • Sign Up: To become a Trial Rider, the user/trial rider must register through BRIDL’s platform. the user/trial rider will be required to provide the user/trial rider riding experience, references, and any necessary certifications.
  • Receive Notifications: Once approved, the user/trial rider will receive notifications about trial riding opportunities in the user/trial rider area, along with specific details regarding the horse and the client’s expectations.
  • Conduct the Trial Ride: After accepting an assignment, the user/trial rider will visit the stable where the horse is located and conduct a thorough trial ride. The objective is to assess the horse’s suitability based on the client’s specific needs.
  • Submit Your Report: Upon completing the trial ride, the user/trial rider are required to submit a detailed report through BRIDL’s platform, which will evaluate the horse's behaviour, rideability, and performance during the trial.
  • Compensation: the user/trial rider will be compensated based on a predetermined rate for each completed trial ride. Payments will be processed after the successful submission of the user/trial rider report.
Compensation
  • Earnings: Trial Riders will be paid a fixed rate per trial ride. This rate is agreed upon before each assignment, based on the location, complexity, and duration of the trial.
  • Payment Terms: Payments are processed within 30 days after the submission of the user/trial rider trial report, provided the report meets BRIDL’s quality standards.
  • No Guaranteed Assignments: BRIDL does not guarantee a minimum number of trial ride assignments. Opportunities are based on demand and the availability of suitable horses in the user/trial rider region.
Confidentiality and Non-Disclosure
  • Confidential Information: As a Trial Rider, the user/trial rider may have access to sensitive information, including but not limited to horse performance data, client details, and internal BRIDL processes. The user/trial rider agrees to keep all such information strictly confidential and not disclose it to any third parties.
  • Non-Disclosure of Proprietary Information: the user/trial rider may not share proprietary information regarding BRIDL, its clients, or the horses involved in the trial program with competitors or third parties.
  • Post-Termination Confidentiality The obligations regarding confidentiality and non-disclosure continue even after the user/trial rider's participation in the program has ended.
Non-Exclusivity and Independence
  • Non-Exclusivity: the user/trial rider participation in the Trial Riders Program is non-exclusive, meaning the user/trial rider is free to participate in other programs or work with other companies outside of BRIDL. However, the user/trial rider may not use any confidential or proprietary information obtained through BRIDL for the benefit of other companies or competitors.
  • Independent Contractor: the user/trial rider is participating as an independent contractor, not as an employee, agent, or representative of BRIDL. the user/trial rider is responsible for the user/trial rider's own business expenses, taxes, and liabilities. Nothing in these Terms & Conditions creates an employment relationship
Dispute Resolution
  • Good Faith Negotiation Any disputes regarding compensation, assignments, or other aspects of the program should first be addressed through good-faith negotiations between the user/trial rider and BRIDL.
  • Mediation: If the issue cannot be resolved through negotiation, either party may refer the matter to mediation. The costs of mediation will be shared between both parties unless otherwise agreed.
  • Legal Action: If mediation is unsuccessful, legal action may be pursued. However, both parties agree to make reasonable efforts to resolve the dispute without litigation.
Termination of Participation
  • Termination by BRIDL: BRIDL reserves the right to terminate the user/trial rider participation in the Trial Riders Program at any time for reasons including, but not limited to, non-compliance with these Terms & Conditions, providing false information, or breach of confidentiality.
  • Termination by You: the user/trial rider may terminate the user/trial rider participation in the program by providing written notice to BRIDL. Any assignments completed before termination will still entitle the user/trial rider to payment, provided all conditions have been met.
  • Post-Termination Obligations: Upon termination, the user/trial rider must cease using any BRIDL-related materials, logos, or proprietary information, and fulfil any remaining obligations such as submitting final reports.
Indemnity and Liability Waiver
  • Indemnification the user/trial rider agrees to indemnify and hold harmless BRIDL, its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, or expenses arising out of the user/trial rider participation in the Trial Riders Program, including any inaccuracies in the user/trial rider reports or failure to meet the user/trial rider responsibilities under these Terms & Conditions.
  • Liability Waiver BRIDL disclaims any liability for injuries, accidents, or disputes that may arise during trial rides. the user/trial rider acknowledges that riding horses involves inherent risks and agrees to assume full responsibility for the user/trial rider's safety during the trial rides.
Governing Law
  • Jurisdiction: These Terms & Conditions, and any disputes arising from the user/trial rider participation in the Trial Riders Program, are governed by the laws of England and Wales.
  • Exclusive Jurisdiction: Any legal disputes shall be subject to the exclusive jurisdiction of the courts in London, England.

6. Terms & Conditions for Referral Program

Eligibility to Participate
  • Minimum Age : To participate in BRIDL’s Referral Program, the user/trial rider must be at least 18 years old
  • Legal Capacity : the user/trial rider must have the legal capacity to enter into binding agreements under the laws of the user/trial rider's jurisdiction.
  • Authority: If the user/trial rider is participating on behalf of a company or other legal entity, the user/trial rider must have the authority to bind that entity to these Terms & Conditions.
  • Compliance: the user/trial rider agrees to comply with all applicable laws and regulations in the user/trial rider country and adhere to BRIDL’s guidelines and these Terms & Conditions
How the Referral Program Works
  • Sign Up: To join the Referral Program, the user/trial rider must register through BRIDL’s platform via the ‘Refer Somebody’ section in the user/trial rider dashboard
  • Submit Referrals: Once registered, the user/trial rider will be able to submit the name and contact details of individuals or businesses who may be interested in BRIDL’s services. Referrals must be submitted through BRIDL’s approved referral process.
  • Promote BRIDL: the user/trial rider is encouraged to promote BRIDL’s services to the user/trial rider network, including potential buyers, sellers, and other equestrian businesses. the user/trial rider's role is to facilitate an introduction between the referred party and BRIDL.
  • Successful Referrals: A referral is considered successful when the referred party completes a transaction on BRIDL’s platform, whether by listing a horse for sale or purchasing a horse.
Commission Structure
  • Commission Rate: Commissions will range from 1% to 2.5% of the transaction value, depending on the specific deal. BRIDL will confirm the commission rate for each successful referral before the transaction is finalized.
  • Payment Eligibility: Commissions are earned only on successful referrals that lead to a completed transaction. This applies to both horse sellers and buyers referred through the Program.
Payment Terms
  • Invoicing: After successful referral results in a completed transaction, the user/trial rider must submit an invoice to BRIDL for the agreed commission. The invoice must include the user/trial rider's contact information and any necessary payment details
  • Payment Timeline: Commissions will be paid within 30 days of BRIDL receiving the final payment for the transaction related to the user/trial rider referral.
  • Payment Method: Payments will be made using the payment method specified during the user/trial rider registration, typically via bank transfer or another secure method.
  • Taxes: the user/trial rider is solely responsible for reporting and paying any taxes due on the commissions earned through the Referral Program. BRIDL will not withhold taxes on the user/trial rider's behalf.
Types of Referrals
  • Eligibility of Referrals: For a referral to be valid, the referred individual or business must not already be registered on BRIDL’s platform or be an existing client. If the referred party has already been introduced to BRIDL by another person, the user/trial rider referral will not be eligible for a commission.
  • Referral Duration: A referral remains valid for 12 months from the date it is submitted. If the referred party completes a transaction within this timeframe, the user/trial rider will be eligible for a commission.
Non-Exclusivity and Independence
  • Non-Exclusivity: Participation in BRIDL’s Referral Program is non-exclusive. the user/trial rider is free to participate in other referral programs outside of BRIDL, provided the user/trial rider does not use any confidential or proprietary information obtained through this Program for the benefit of other businesses or competitors.
  • Independent Contractor: the user/trial rider is participating in the Program as an independent contractor. the user/trial rider is not an employee, agent, or representative of BRIDL, and the user/trial rider's participation in the Program does not entitle the user/trial rider to any benefits or protections associated with employment.
Confidentiality and Non-Disclosure
  • Confidential Information: As a Referrer, the user/trial rider may have access to sensitive information about clients, deals, or BRIDL’s internal processes. The user/trial rider agrees to keep all such information confidential and not disclose it to any third parties without prior written consent from BRIDL.
  • Proprietary Information: the user/trial rider agrees not to share any proprietary information, such as BRIDL’s service offerings, referral methods, or pricing strategies, with competitors or third parties.
Termination of Participation
  • Termination by BRIDL: BRIDL reserves the right to terminate the user/trial rider participation in the Referral Program at any time for reasons including, but not limited to, providing false information, breaching confidentiality, or violating these Terms & Conditions.
  • Termination by Referre : the user/trial rider may terminate the user/trial rider participation in the Program at any time by providing written notice to BRIDL. Any commissions earned for successful referrals made before termination will still be paid.
  • Post-Termination Obligations:: Upon termination, the user/trial rider must cease using any BRIDL-related materials, logos, or proprietary information, and any outstanding obligations, including payment of commissions, will be settled according to these Terms & Conditions.
Dispute Resolution
  • Good Faith Negotiation: In the event of any disputes related to commissions, referrals, or participation in the Referral Program, both parties agree to first attempt to resolve the issue through good-faith negotiations.
  • Mediation: If a resolution cannot be reached through negotiation, either party may choose to refer the matter to mediation before pursuing legal action. The cost of mediation will be shared between the parties unless otherwise agreed.
Indemnity and Liability Waiver
  • Indemnification: the user/trial rider agrees to indemnify and hold harmless BRIDL, its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, or expenses arising out of the user/trial rider participation in the Referral Program, including any inaccurate information provided or failure to meet the user/trial rider obligations under these Terms & Conditions.
  • Liability Waiver: BRIDL disclaims all liability for any disputes or issues arising from referrals or transactions that result from the user/trial rider introduction. BRIDL’s liability, if any, is limited to the commissions owed to the user/trial rider for successful referrals.
Governing Law
  • Jurisdiction: These Terms & Conditions and any disputes arising from the user/trial rider participation in the Referral Program are governed by the laws of England and Wales.
  • Exclusive Jurisdiction: Any legal disputes will be subject to the exclusive jurisdiction of the courts in London, England.

7. Terms & Conditions for Partnership Program

Eligibility to Become a Partner
  • Legal Status: To participate in BRIDL’s Partnership Program, the user/trial rider must be a legally recognized individual or entity capable of entering into binding agreements.
  • Relevant Offering: the user/trial rider services, network, or platform must align with BRIDL’s goals and values within the equestrian industry.
  • Compliance: the user/trial rider agrees to comply with all applicable laws and regulations in the user/trial rider country and adhere to BRIDL’s guidelines and these Terms & Conditions.
  • Authority If the user/trial rider is acting on behalf of a company or legal entity, the user/trial rider must have the authority to bind that entity to these Terms & Conditions.
How the Partnership Program Works
  • Initiate Contact To start a partnership, the user/trial rider must connect with BRIDL through the 'Partner with Us' section of the user/trial rider dashboard or by directly contacting BRIDL.
  • Collaboration Overview: BRIDL will work with the user/trial rider to determine a collaborative plan that reflects the strengths, services, and goals of both parties. This plan may involve shared initiatives such as events, educational programs, or service offerings to the equestrian community.
  • Agreement to Collaborate: Both parties will agree on specific deliverables, responsibilities, and the structure of the partnership through a formal agreement.
Tailored Partnership Agreements
  • Customization : Each partnership will be customized based on the user/trial rider services and BRIDL’s objectives. The agreement will outline the roles, responsibilities, and contributions of both parties.
  • Scope and Duration: The agreement will specify the services provided by each party, the timeframe of the partnership, and the intended outcomes.
  • Amendments: Any changes or amendments to the agreement must be mutually agreed upon in writing.
Promotional Activities
  • Marketing Collaboration: As a Partner, the user/trial rider may be asked to help promote BRIDL’s services to the user/trial rider network. This could involve sharing BRIDL’s content, co-hosting events, or offering services to BRIDL’s clients
  • Co-Branded Initiatives: BRIDL may engage in joint marketing activities with the user/trial rider, including educational programs, events, or media campaigns. Any co-branded content must be approved by both parties before distribution.
  • Use of Logos and Trademarks: Any use of BRIDL’s logos, trademarks, or branding by the user/trial rider must be approved by BRIDL in writing. Likewise, BRIDL will seek permission to use the user/trial rider branding for promotional purposes.
Compensation and Benefits
  • Revenue Sharing: In some partnerships, the user/trial rider may be eligible for revenue sharing based on services provided or joint initiatives. The specifics of any revenue-sharing arrangement will be outlined in the partnership agreement.
  • Commission Structure: If the partnership involves generating leads or promoting BRIDL’s services, the user/trial rider may earn commissions based on successful transactions. The commission rate, payment terms, and invoicing process will be detailed in the agreement
  • Non-Monetary Benefits: In addition to revenue or commissions, the user/trial rider may receive non-monetary benefits such as increased visibility in the equestrian industry, access to BRIDL’s network, or co-branding opportunities
Non-Exclusivity and Independence
  • Non-Exclusivity: The partnership is non-exclusive. the user/trial rider are free to enter into partnerships with other companies or platforms, provided the user/trial rider do not use confidential or proprietary information obtained from BRIDL for the benefit of other businesses.
  • Independent Contractor: the user/trial rider participation in the partnership does not create an employment, agency, or joint venture relationship. The user/trial rider is participating as an independent contractor, and neither party is entitled to the benefits or protections associated with employment.
Termination of Partnership
  • Termination by BRIDL: BRIDL reserves the right to terminate the partnership at any time and for any reason, including a breach of these Terms & Conditions, failure to meet agreed obligations, or misconduct.
  • Termination by Partner: the user/trial rider may terminate the partnership at any time by providing written notice to BRIDL. Any payments or benefits due for services provided before termination will still be fulfilled according to the terms of the agreement.
  • Post-Termination Obligations: Upon termination, both parties agree to stop using each other’s branding and promotional materials. Any outstanding payments or obligations will be settled as per the partnership agreement.
Dispute Resolution
  • Good Faith Negotiation: In the event of a dispute, both parties agree to first attempt to resolve the issue through good-faith negotiations.
  • Mediation: If negotiations fail, the dispute may be referred to mediation before any legal action is pursued. Mediation costs will be shared between both parties unless otherwise agreed.
Indemnity and Liability Waiver
  • Indemnification: the user/trial rider agrees to indemnify and hold harmless BRIDL, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, or expenses arising out of the user/trial rider participation in the partnership, including inaccurate information or failure to meet the user/trial rider obligations.
  • Liability Waiver: BRIDL disclaims all liability for any losses or damages resulting from the user/trial rider's actions as a Partner. BRIDL’s liability, if any, is limited to the compensation or benefits agreed upon in the partnership agreement.
Governing Law
  • Jurisdiction: These Terms & Conditions, and any disputes arising from the partnership, will be governed by the laws of England and Wales.
  • Exclusive Jurisdiction : Any legal disputes will be subject to the exclusive jurisdiction of the courts in London, England
